Terms of Service

1. Acceptance of Terms

By accessing or using the PausePoint API, dashboard, or any related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms. If you do not agree, do not use the Service.

These Terms form a binding agreement between you and PausePoint Labs ("PausePoint," "we," "us," or "our"), a company registered on the Isle of Man.

2. The Service

PausePoint provides a REST API that allows AI agents and automated systems to pause execution and request a decision from a designated human recipient via SMS or email. The Service includes:

  • The POST /v1/pause API endpoint and associated endpoints for polling and managing pause requests
  • SMS and email notification delivery to human recipients you designate
  • A hosted, mobile-optimized response page for human recipients
  • An immutable audit log of all pause events
  • Signed webhook delivery of response events
  • A dashboard for managing API keys, viewing usage, and billing
  • An MCP server for use with compatible AI assistants (beta)

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with reasonable notice where practicable.

3. Accounts and API Keys

To use the Service you must create an account using a valid email address. You are responsible for maintaining the confidentiality of your API keys and all activity that occurs under your account.

  • You must not share API keys across multiple users or organizations without authorization from PausePoint.
  • You must notify us immediately at hello@pausepoint.dev if you suspect unauthorized access to your account or API keys.
  • API keys are stored as SHA-256 hashes, so PausePoint cannot recover a lost key. You may rotate keys at any time from the dashboard.
  • You must be at least 18 years old to create an account.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

  • Send unsolicited messages or notifications to recipients who have not consented to receive them
  • Use the Service to send spam, phishing messages, or any deceptive content
  • Transmit personal data of recipients without a lawful basis under applicable data protection law
  • Attempt to reverse-engineer, circumvent, or abuse any API rate limits or security measures
  • Use the Service in any way that violates applicable laws or regulations, including telemarketing or anti-spam laws
  • Resell or sublicense access to the Service to third parties without written permission
  • Use the Service to facilitate any illegal activity

You are solely responsible for ensuring that the phone numbers and email addresses you provide as recipients have given consent to receive notifications through the Service. PausePoint may suspend your account without notice if we reasonably determine that your use violates these terms or applicable law.

5. Billing and Payments

Plans

PausePoint offers the following subscription plans:

  • Free: 50 pauses per month at no charge. No credit card required.
  • Starter: $29 per month (or $23/month billed annually), including 500 pauses per month.
  • Pro: $99 per month (or $79/month billed annually), including 5,000 pauses per month.

Unused pauses do not roll over to the following month. Pauses consumed in excess of your plan's monthly allowance may result in throttling or temporary suspension until your next billing cycle.

Paddle as Merchant of Record

All billing and payment processing is handled by Paddle, which acts as the Merchant of Record for all PausePoint subscriptions. When you purchase a paid plan, your contract for that transaction is with Paddle, not PausePoint Labs directly. Paddle handles payment collection, invoicing, tax compliance, and the issuance of receipts. Billing disputes and chargebacks must be directed to Paddle in accordance with Paddle's own terms of service.

Refunds

Refunds are governed by our Refund Policy. We offer a 7-day money-back guarantee on the first payment of any paid plan.

Taxes

Paddle is responsible for collecting and remitting applicable taxes (including VAT and GST) on your behalf. The price displayed at checkout includes any applicable taxes calculated by Paddle for your jurisdiction.

6. Service Levels and Uptime

PausePoint will use commercially reasonable efforts to maintain the availability of the Service. However, no uptime Service Level Agreement (SLA) is provided on the Free plan. Best-effort uptime is provided across all plans. Paid Enterprise customers may negotiate an SLA separately.

We are not liable for downtime caused by circumstances outside our reasonable control, including failures of third-party infrastructure (such as Twilio, Resend, or cloud providers), scheduled maintenance, or force majeure events.

7. Termination

You may terminate your account at any time by contacting us at hello@pausepoint.dev or through the dashboard settings. Upon termination:

  • Your API keys will be immediately invalidated
  • Access to the Service and your audit log data will cease
  • Any remaining prepaid subscription period will not be refunded unless covered by our Refund Policy

PausePoint may terminate or suspend your account immediately, without prior notice, if you breach any provision of these Terms, your payment fails and is not remedied within a reasonable period, or we are required to do so by law.

8. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PAUSEPOINT LABS DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

IN NO EVENT SHALL PAUSEPOINT LABS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO PAUSEPOINT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

You acknowledge that PausePoint is a notification and coordination service. PausePoint is not responsible for the decisions made by human recipients, the actions taken by your AI agents, or any downstream consequences of those decisions or actions.

9. Governing Law

These Terms are governed by and construed in accordance with the laws of the Isle of Man. Any disputes arising from or related to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of the Isle of Man, unless otherwise required by applicable consumer protection laws in your jurisdiction.

10. Changes to Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email (to the address associated with your account) and by updating the "Last updated" date at the top of this page. Your continued use of the Service after the effective date of any changes constitutes acceptance of the revised Terms.
